Legal Head ROLE PURPOSE

• Responsible for ensuring that theentities in India adheres to legal and corporate compliances.

• Establishes and monitors policies,procedures and controls, together with a framework to ensure Indian legalentities remains demonstrably compliant.

DUTIES AND RESPONSIBILITIES :

A. Litigation / Risk Management-Pro-active legal support and advice to the business divisions and keystakeholders, and to assist them in achieving their core strategic objectiveswithin acceptable risk parameters.- Work with business teams and externalcounsel to manage disputes and litigation claims.

Strategize on resolution of disputes andlitigations with the objective of minimizing conflicts and settling mattersamicably- Ensure most legal matters are managed in-house and take externalcounsel advise as and when required to ensure cost savings.

 Contract Management- Drafting, reviewing andnegotiating a range of commercial agreements, such as master servicesagreement, contract labour agreements, employment contracts, consultancy contracts, propertyleases, letter of intent, IT agreements and NDAs.C.

Process &Innovation Responsibility- Collaborate with the external lawyers whereverapplicable to ensure each unit adheres to their compliance framework consistingof but not limited to management information systems, key risk indicators,compliance testing protocols and the reporting requirement of the Boards.-Ensure group level functional initiatives are coordinated and driven centrallyto leverage synergy.

 Support the units to execute group levelfunctional initiatives.- Ensure development of feasible policies, proceduresand framework for corporate governance, recommend processes that are practical,proportionate and applicable to daily operations.- Pro-active, practical,qualitative and cost-effective legal support and guidance to different businessfunctions.-

Identify and keepabreast of laws, regulations, industry codes and other rules that may changethe compliance obligations for Indian entities, proactively define framework tomanage the risk of a breach of those statues.- Recommend alternatives whereverregulatory bottlenecks develops. Provide functional expertise and recommendinputs on critical governance issues at the units.- Provide guidance, advice onmedico-legal cases and approval on market promotion and development claims andcollaterals.-

 Advice Corporate on key technical service feeagreements, professional consultancy / services agreements, licensing andassignments as well as in dealing with third parties in matters of conflict andsettlement.- Advice and support negotiation in corporate restructuring, Formation& registration of companies, mergers, acquisitions, strategic alliances,JV, winding-up, name changes etc.-

Collaborate with theleadership and recommend balanced legal advice on a wide range of matters-Experience of working with best law firms/advocates for handling various legalcases; primarily following;

• Medico Legal Cases

• Trade mark cases

• NCLT cases

• Land status & and

Negotiable InstrumentsAct Cases .

• Arbitration Cases

• Other Civil &Criminal matters- Pro-active, practical, qualitative and cost-effective legalsupport and guidance to different business functions.D. Talent &Organization Responsibility- Ensure retention of key /identified talent withinthe function

 Identify professional development requirementsfor direct reports and ensure they undergo the relevant training- Report to theBoard on periodical basis the status of the various litigations/cases filed for/against the compan
